What We Do

Common tasks can be handled together with your US company formation

Forming a US company is more than filing one form. You also need to choose the entity type and state, arrange a registered agent, EIN and internal documents, and understand the annual report and tax duties ahead. Sorting these out early reduces follow-up requests and rework.

Company Formation Filing

Based on where you actually operate, employees, warehouse, costs and funding plans, we help you choose an LLC or C-Corp and file with the state government.

  • Check name availability
  • Prepare and file state documents
  • Deliver approval files and confirm status

EIN Federal Tax ID

An EIN is the company’s federal tax ID, often required for tax filing, bank accounts, payment tools, hiring or working with other companies.

  • Compile EIN application details
  • Follow up on the application
  • Deliver the EIN confirmation

Registered Agent & Address

Most states require an in-state registered agent to receive government notices and legal documents. We also explain what the address can and cannot be used for.

  • Provide in-state registered agent
  • Receive government and legal mail
  • Explain what the address supports

Internal Company Documents

Depending on LLC or C-Corp requirements, we prepare operating agreements, bylaws, initial resolutions and other documents covering members, shareholders and officers.

  • LLC operating agreement
  • C-Corp bylaws and initial resolutions
  • Member or shareholder records

Banking & Platform Files

We list the documents banks, payment providers and marketplaces commonly ask for, and check that company name, address, owners, EIN and business description are consistent.

  • List required documents
  • Check consistency of all details
  • Optional phone, website and email

Annual Reports & Tax Referrals

After formation, companies usually renew the registered agent, file state annual reports, pay state fees and handle federal and state tax filings.

  • Reminders for annual deadlines
  • Help keep the company in good standing
  • Organize tax records and referrals

Popular States

Three popular registration states with reference pricing

The first-year fee is not the only thing to compare. Also consider where the company actually operates, ongoing yearly costs, funding plans, and how banks and platforms treat the address and business records.

Choosing an Entity Type

LLC or C-Corp — it depends on how you plan to operate

LLCs and C-Corps differ in ownership, management, taxation and fundraising. Choosing purely on the lowest price may mean re-forming the entity or preparing extra documents later.

Four things to check before choosing a state

Where you actually operate

If the company has an office, employees, warehouse, inventory or ongoing business in a state, focus on that state’s registration and tax requirements.

Whether you plan to raise funding

If you expect investors, employee options or a future listing, a C-Corp usually makes shares, directors and financing documents easier to arrange.

Bank and platform requirements

Banks and marketplaces run their own reviews of owners, officers, address, website, business description and transactions. Formation alone does not guarantee approval.

How much it costs every year

Beyond the first filing fee, budget for agent renewal, state annual reports, state taxes, filings and industry licenses.

Annual Duties

What a US company must do every year

Even with no revenue, a company may still need to file state annual reports, pay annual fees or submit tax returns. What is required depends on the state of formation, where it operates, its tax classification, shareholders and transactions.

State requirements

Annual reports & state fees

File the Annual Report or Periodic Report required by your state and pay any License Tax, Franchise Tax or other state fees.

Federal tax requirements

Tax & information filings

Depending on LLC members, tax elections, foreign owners or shareholder loans, Forms 1120, 1065, 5472 and more may apply.

Daily operations

Keep company and personal funds separate

Do not mix company and personal money. Keep contracts, invoices, platform records and expense vouchers for future filings or reviews.

Operating in other states

Foreign registration & licenses

With employees, offices, warehouses or ongoing activity outside the formation state, Foreign Qualification, sales tax registration or licenses may be needed.

BOI reporting rules have changed

Under current FinCEN rules, companies newly formed in the US generally no longer need to file BOI reports; companies formed elsewhere that later register in the US may still need to. Rules can change — confirm the latest requirements when filing.

Use Cases

Common business scenarios

Different businesses need different documents. E-commerce, software, trade and fundraising projects differ in address, banking, payments, sales tax, contracts and licenses.

Cross-border e-commerce

For Amazon, Walmart, TikTok Shop and independent sites. Plan platform review, payment accounts and sales tax documents before forming.

SaaS & digital services

For subscriptions, online tools, content services and remote consulting. Confirm who signs contracts, how you get paid, and where revenue comes from.

Trade & supply chain

For cross-border purchasing, wholesale, logistics and brand distribution. Arrange based on warehouses, import method, sales tax and where contracts are performed.

Fundraising & entering the US

For projects bringing in investors, setting up shares or entering the US market. Usually needs fuller shareholder, director, share and resolution documents.

Frequently asked

US company registration FAQ

Can I form a US company from China without a US visa, SSN or ITIN?

Usually yes. Most states allow non-US residents to form an LLC or hold C-Corp shares. Formation, EIN, banking and tax filing are separate steps with their own requirements.

Which is better for cross-border business, LLC or C-Corp?

For e-commerce, consulting, SaaS or small-to-mid businesses, many choose an LLC; for investors, employee options or multiple rounds, a C-Corp is usually more convenient. It depends on shareholder status, tax elections and funding plans.

If I register in Wyoming or Delaware, do I skip registration in other states?

Not necessarily. With an office, employees, warehouse, inventory or ongoing activity in another state, foreign qualification and local annual report, license, sales tax or income tax rules may apply.

What does the formation fee usually include?

Commonly state filing, registered agent, address, formation documents, EIN and internal documents. Coverage, service terms and renewal prices vary by package — check the quotation and agreement.

How soon can I get the formation documents?

It depends on the state and expedited service. Colorado is typically about 1–2 business days. EIN, banking, payment tools and licenses are separate and cannot be timed by the state filing speed.

What is an EIN? Do I need one without employees?

An EIN is the federal tax ID assigned by the IRS. Even without employees, companies often need an EIN for taxes, bank accounts, payment tools or business cooperation.

Can the registered agent address be used for banking or platform review?

The registered agent address mainly receives government notices and legal documents. Banks and platforms may also ask for a real operating address, officer address, website, contracts or other identity and business records.

Does a company with no revenue still need annual reports or tax filings?

Usually the agent still needs renewing and state annual reports or fees are still due. Federal and state filing duties depend on tax classification, foreign members, shareholder loans and actual operations. No tax due does not mean no filing.

Do newly formed US companies still need to file BOI?

Under current FinCEN rules, companies newly formed in the US generally no longer need to file BOI reports; companies formed elsewhere that later register in the US may still need to. Confirm the latest rules when filing.

Can you guarantee bank accounts, payment channels or marketplace approval?

No. Banks, payment providers and platforms review owners, business content, address, website and transaction records themselves. Complete and consistent company records make review easier, but approval cannot be guaranteed.

Is there a refund if the application fails?

Refund terms follow the agreement. Government fees already paid, failures caused by client documents or cooperation, and other non-refundable cases should all be confirmed before signing.
