Register a Company in Southeast Asia

Covering common markets such as Singapore, Malaysia, Thailand, Indonesia, Vietnam and the Philippines. After registration, banking, accounting and maintenance continue on the same set of information.

  • Confirm the jurisdiction and shareholding first
  • Review banking, tax and ODI together
  • Scope and fees confirmed in writing before signing

Foreign ownership caps, local role requirements and licensing differ by country; formation conditions follow the latest rules of each local authority.

Service Foundation

Registration is not a standalone step — banking and compliance connect early

Our services cover overseas company registration, bank accounts, cross-border accounting, IP and e-commerce matters. When several stages are needed, the same shareholder, business and funding information carries through, reducing repeated document requests.

Popular Jurisdictions

Screen the jurisdiction by business, shareholding and local rules

Not just tax rates. Customers, suppliers, staff, platforms, banking, foreign-investment limits and long-term maintenance all shape the choice.

01

Singapore

Suited to cross-border trade, e-commerce, tech services, regional operations and holding. Confirm the local resident director, company secretary and account file early.

02

Malaysia

Confirm the local director, company secretary, registered address, and whether the industry involves foreign-ownership caps or licensing.

03

Thailand

Check foreign-business restrictions, scope, capital, office address and licensing or the BOI route against actual operations.

04

Indonesia

Verify KBLI business codes, foreign-investment access, investment arrangements, project location and licences required under OSS risk levels.

05

Vietnam

Focus on foreign-investment access, the investment project, address or lease documents, the legal representative and industry licences.

06

Philippines

Confirm foreign-ownership limits, capital requirements, staffing, local permits and tax registration arrangements.

The entity structure must stay consistent with real transactions, payment flows and operating regions.

Process

Five milestones that settle documents and operations together

Clear the conditions that affect shareholding, banking and compliance first, to reduce post-lodgement supplements and changes.

01

Assess the business

What you sell, where, who the shareholders are, how you get paid, and whether a Chinese entity is investing.

02

Set the structure

Country, entity type, shareholding, local roles, business scope and applicable licences.

03

Prepare documents

Separate lists for individual shareholders, corporate shareholders, controllers and the real business.

04

Lodge and follow up

Name checks, identity verification, signatures, official lodgement and supplements.

05

Deliver and maintain

Organise company documents and list banking, accounting, tax, annual filings and licences.

Jurisdiction not decided? Send the business and payment paths first

We first check whether the entity can satisfy your business, banking, shareholding and maintenance needs, then provide the scope and document list.

Service Scope

Incorporation, accounts, tax and ODI advance on one set of information

Every stage reviews the business, shareholders, controllers and fund use. Consistency across stages avoids unnecessary supplement requests. Registration documents carry on into banking, accounting, tax and later changes.

Chinese Investment into Southeast Asia

When a Chinese entity invests, review ODI and registration together

Local registration establishes the entity; ODI covers the Chinese enterprise’s outbound investment and fund paths. They are not the same procedure.

01

New overseas entity

A Chinese enterprise funds a Southeast Asian sales, operations, manufacturing or project company.

02

Acquisition or stake

Buying equity, joining a joint venture or taking control of an overseas company.

03

Capital increase

Adding capital to an existing Southeast Asian subsidiary for staff, inventory, equipment or operations.

04

Multi-layer holding

Intermediate holdings in Hong Kong, Singapore etc. require explanations of equity, funds and commercial purpose.

Chinese entity investing? Verify the ODI path first

When establishing, acquiring, taking stakes or increasing capital in a Southeast Asian company, send the investor, shareholding, amount and source of funds together. We assess the approval or filing path before arranging the registration sequence.

Service and Verification

Matters needing professional judgement go to the right stage

Complex structures, regulated industries, corporate shareholders and cross-border fund arrangements are confirmed for applicability first — no single template for all clients.

  • Chinese-speaking advisor throughout
A dedicated contact follows registration, banking and accounting, with timely updates on progress and supplements.
  • Written quotation before signing
Government fees, services, optional items and maintenance scope are written down before work starts.
  • Maintenance after registration
Banking documents, accounting, tax, annual filings and other compliance continue as needed.
  • Official rules verifiable
Formation conditions follow the latest requirements of local authorities; regulated industries are confirmed separately.

Frequently asked questions

Can a Chinese individual register a Southeast Asian company?

Yes, through locally permitted foreign-investment routes. However, local director, company secretary, foreign-ownership, licensing, capital and industry-access requirements differ by country. Confirm against the specific business, not nationality alone.

What extra documents does a Chinese corporate shareholder prepare?

Usually the Chinese company’s registration documents, articles, director or signatory details, ownership structure, ultimate controllers, and board or shareholder resolutions, plus translation, notarization or legalization as the jurisdiction requires. If the Chinese company actually invests, ODI and remittance documents must also be assessed.

Can everything be done remotely?

Many formation steps can be remote; bank KYC, video identity checks, visas, work permits, regulated licences or specific signings may require video or in-person participation. We explain who must cooperate and at which stage before lodging.

How long does registration take?

It depends on the country, name review, shareholder type, licences, identity checks and any extra approvals. Singapore is usually fast with complete documents; Thailand, Indonesia and Vietnam projects with foreign investment or licensing should be assessed case by case — no blanket day counts.

What do the fees include?

Typically government fees, registration service fees, and as-needed items such as address, company secretary or local roles, translation and notarization, industry licences, banking support, accounting and annual maintenance. Inclusions and options are separated in writing before signing.

Can the company collect payments right after registration?

Not necessarily. After formation you still need to choose a bank or payment provider and pass its KYC, which reviews controllers, source of funds, business model, counterparties, contracts, website and expected transactions. Final approval rests with the financial institution.

Is ODI always required for Chinese investment into Southeast Asia?

No — it is not judged by “registering an overseas company” alone. When a Chinese enterprise acquires overseas equity through establishment, acquisition, stakes or capital increases, outbound investment approval or filing is assessed against the project and fund path; ordinary trade payments are not automatically ODI.

What maintenance is needed each year after formation?

Common items include address or company secretary, local record updates, bookkeeping, annual filings, corporate income tax, GST or other applicable taxes, licence renewals and bank KYC updates — depending on jurisdiction and actual operations.
