Hong Kong Company Formation

Register a Hong Kong Company

Send us the company name, directors and shareholders’ details, and your business situation. We check the name, prepare the incorporation documents, arrange the company secretary and Hong Kong registered address, file the application, and deliver the full company kit. Most clients never need to visit Hong Kong.

  • Handled remotely
  • Usually 3–8 business days
  • One individual director is enough
  • No capital verification

The 3–8 business day count starts once the name is available, documents are complete and signed, and fees are confirmed. Missing documents or government reviews may extend the timeline.

Basic Requirements

Four things to confirm before registering

The requirements are simple. Settle the people, shareholding and business situation first, and the paperwork becomes much easier.

At least 1 director

Must be an individual aged 18 or above; no need to be a Hong Kong resident.

At least 1 shareholder

May be an individual or a company, and can be the same person as the director.

Hong Kong company secretary

A qualified company secretary is required; we can arrange one.

Hong Kong registered address

For receiving government mail — a PO box alone is not allowed; we provide the address service.

Costs

What the fees cover — made clear before you sign

Formation costs more than government fees. Check whether company secretary, registered address, company documents, green box and delivery are included.

Common Uses

What do clients use a Hong Kong company for?

Many clients use Hong Kong companies for cross-border trade, e-commerce, software, consulting or brand businesses. Fit depends on your actual business and payment needs.

Cross-border business

Sign contracts, receive and pay with a HK company

Suits businesses with overseas clients or suppliers, cross-border platforms or multi-currency settlement. Banks and payment institutions review account applications separately.

  • Chinese and English company names available
  • Corporate bank or payment accounts as needed
  • Connects mainland supply chains with overseas markets
Tax

Two-tier profits tax rates

Where conditions are met, the first HK$2 million of assessable profits is taxed at 8.25% and the rest at 16.5%. Actual tax depends on what the business really does, where profits arise and what records you keep.

International trade

Contract with overseas clients and suppliers, arrange purchasing, sales and cross-border settlement.

Cross-border e-commerce

Marketplace onboarding, brand operations, ad payments and supply-chain settlement, subject to platform rules.

Software & consulting

Provide software, design, marketing, consulting or other services to overseas clients.

Process

We handle it in eight steps

Each step tells you what to do — no need to study forms and filing procedures yourself.

Confirm purpose, directors, shareholders, shareholding and banking needs.

Ongoing Compliance

Annual duties after incorporation

A company is not hands-off after the certificate arrives. We keep reminding you of deadlines and help prepare and submit the filings.

  • Annual return (NAR1)
Update directors, shareholders, secretary, address and shares each year.
  • Business registration renewal
Renew before the certificate expires to avoid disruption.
  • Bookkeeping, audit & tax
Organize accounts from actual transactions and handle audits and tax filings.
  • Company information changes
Update promptly when directors, shareholders, address, secretary or shares change.

Having no business does not mean doing nothing. Government letters and tax filings still need handling based on the company’s actual situation.

Bank Account

Need a company account? We prepare the file first

Banks decide account opening themselves. What we do is organize your materials, check consistency, and help you prepare for the questions banks usually ask.

Company & personal documents CI, BR, articles, directors’ and shareholders’ ID
Business materials Website, shop, products, service intro or business plan
Contracts & orders Client and supplier contracts, invoices, orders and logistics
Source of funds Income, statements, investment funds and where they come from
Expected account usage Countries, currencies, amounts, frequency and counterparties
Interview / video prep Explain the business clearly and stay consistent with your file

We never promise a “guaranteed account”. Approval time, account terms and interviews are decided by the bank or payment institution.

FAQ

Questions clients often ask

Do mainland residents need to go to Hong Kong to register?

Usually not. Confirmation, signing and filing are normally done remotely. Whether a bank account later requires video or in-person verification depends on the bank.

How long does registration take?

With documents complete, the name available, files signed and fees confirmed, usually 3–8 business days. Missing documents, government review and courier time may extend it.

Does the share capital need to be deposited in a bank?

No capital verification is generally required. Fill in shares and ratios per your actual arrangement — no need to inflate the numbers.

Is a bank account guaranteed after formation?

No. Banks review the business, source of funds, directors’ backgrounds, clients and suppliers. We help you prepare, but the bank decides.

With no business activity, are annual return and tax still required?

The annual return, business registration and any government letters or tax filings still need handling. Whether an audit is required depends on the actual situation.

Does the quotation cover all future fees?

Not necessarily. Formation, first-year secretary/address, banking, annual return, BR renewal, bookkeeping, audit and tax are usually separate items — the quotation states what is included.
