Cayman company formation, document delivery & annual support
Suited to companies planning offshore financing, IPO preparation, group holding, ESOPs or project investment. Chinese-speaking consultants help check company names, prepare documents, file the application, deliver certificates and explain what to do each year after incorporation.
Timelines depend on name availability, the number of shareholders, ownership layers, document legalisation and official review progress. Bank account opening and licence applications take additional time.
Who It Fits
Cayman companies are most often used for holding shares, raising capital and structuring shareholder rights — rarely for day-to-day trading, contracting or receiving payments.
Place the Cayman company at the top of the group to bring in investors, issue different share classes, set up ESOPs or pursue an offshore listing.
Have a Cayman company hold Hong Kong, Singapore or other subsidiaries, concentrating equity for easier financing, restructuring or divestment.
Set up a dedicated company for one project so investors can contribute, vote and exit by agreement, separating project risk from other businesses.
Define in advance the shares, voting, dividends and transfer rules for founders, employees and investors.
For local operations, small services or a single e-commerce store, compare Hong Kong, Singapore or a company where you actually operate — usually easier for banking, payments and maintenance.
Company Type
This type normally carries on business outside the Cayman Islands and is commonly used to hold other companies, invest or receive financing. Before registering, be clear about what it will hold, who controls it and how it will be used.
The company can hold assets, sign documents and bear liability itself. Shareholders are generally liable only up to the amount of shares they subscribe for.
Different share classes and rights can be created for financing, voting, dividends and exit arrangements.
An ordinary exempted company mainly does business outside the Cayman Islands. Local operations or regulated financial activities require separate licences.
After incorporation the company must keep a registered office, maintain its records, file annual returns and complete applicable filings.

Electronic documents are delivered after incorporation; paper originals and international courier take extra time.
Costs
Share capital, the number of shareholders and directors, corporate shareholder layers, notarisation needs, rush service, paper documents, banking assistance and extra filings all affect the total.
Annual Obligations
After incorporation, annual renewals and filings continue. Update records promptly when directors, shareholders, business or tax situations change.
File the annual return, pay government fees and renew the registered office on time to keep the company in good standing.
Describe the company's business each year; if within the regulated scope, provide further details on personnel, management or spending.

Tax & Disclosure
Whether tax is due in other countries depends on where the company is actually managed, where income arises and where shareholders file their taxes.
The company must be able to explain who owns it, who controls it, where funds come from and that the business is genuine.
Bank Account
Banks verify identity, business substance, source of funds and transaction regions. Preparing contracts, a website, orders and proof of funds reduces repeated requests.
Choosing a Jurisdiction
When choosing where to incorporate, focus on what the company will do, where it operates, where you plan to bank, and the annual time and cost of maintenance.

FAQ
For multi-layer shareholders or funds, trusts, financial licences, listings and cross-border tax matters, confirm against the actual documents.
Generally no — incorporation can be done remotely. Shareholders and directors provide identity documents, proof of address, a business description and source-of-funds information. Video verification, notarisation or legalisation may be needed. Bank accounts are reviewed separately and some banks require an interview.
A common Cayman exempted company needs at least one shareholder and one director; the same person can hold both. They don't need to be Cayman residents. A company can be a shareholder if it provides registration documents and the full ownership chain.
Names are checked first and cannot duplicate or closely resemble registered names. Words like Bank, Trust, Insurance or Royal may require licences. Prepare at least three English names as alternatives.
Cayman exempted companies generally have no minimum paid-up capital requirement. Authorised capital is set by shareholding ratios, financing plans and official fee tiers. Share issuance and payment terms should align with investment agreements and future financing.
With complete documents, an available name and smooth review, about 10–15 business days. More shareholders, corporate shareholders, legalisation, regulated industries or clarifications extend the time. Banking and licensing are not included.
Usually the certificate of incorporation, articles, first director resolutions, registers of directors and shareholders, share documents and company records. Whether electronic, paper, notarised or apostilled versions are included depends on the confirmed scope.
The Cayman Islands levies no corporate income tax or capital gains tax, but that doesn't mean the company or shareholders owe nothing elsewhere. Where the company is managed, where income arises and where shareholders file all matter.
The register of members is not open to public browsing, but the company must record its ultimate beneficial owners. Banks, regulators and authorised bodies may access the information, so a Cayman company cannot be treated as a fully anonymous vehicle.
Not all ordinary exempted companies are automatically required to have an annual audit. It depends on regulated business, fund or investor requirements, bank requirements, and contract or articles provisions. Accounting records must still be kept.
Each year the company usually describes its business and assesses whether it falls within economic-substance activities. Relevant activities require more detail and evidence on personnel, management or expenditure. Requirements differ by activity.
You can apply, but incorporation doesn't guarantee an account. Banks separately review shareholders, directors, beneficial owners, business substance, customers and suppliers, transaction countries, expected flows, source of funds, tax information, contracts and the website.
If you mainly need marketplace collections and daily operations, Hong Kong, Singapore or a local company is usually more convenient. Cayman suits group holding, financing, ESOPs, brand holding or investment holding. Compare banking difficulty, annual cost and financing plans.
Cayman for financing, listings and top-tier holding; BVI for simpler offshore holding or single projects; Hong Kong and Singapore for contracts, collections, employees and daily operations. Consider where business happens, who holds the company, banking plans and future financing.
Not advisable. Long-term non-payment or non-filing can lead to penalties, loss of good standing or removal, affecting bank accounts. Before abandoning, settle assets, debts, contracts and tax, then dissolve properly and keep the necessary records.
