Do I need to visit the BVI in person?
Usually no. Everything can be done through online communication, electronic documents and international courier. Directors, shareholders and UBOs still must submit identity, address, business and source-of-funds documents required by the BVI registered agent; some documents may need notarisation.
Can one person be both director and shareholder?
Yes. At least one director and one shareholder are required and they may be the same person. With multiple investors, agree upfront on shareholdings, decision-making and exits.
What are the company name rules?
Names must pass a registry check and cannot be identical or too similar to existing names, nor use restricted words like bank, insurance, trust or fund without approval. Prepare 2-3 English options ending in Limited or Ltd.
Must all capital be deposited at incorporation?
Not necessarily. You can decide how many shares to issue and each holder's portion. Whether and when to pay, and how to keep records, depends on company documents, shareholder decisions and bank requirements.
After registering a BVI company, is no tax due anywhere else?
No. BVI's local regime does not remove tax and filing obligations of shareholders, the place of effective management, transaction locations or other relevant jurisdictions. Cross-border payments, related-party transactions, CFC rules and residence issues can all affect the final tax outcome.
Do directors and shareholders stay completely anonymous?
No. The company must complete statutory filings including KYC, AML, registers of directors and shareholders, and beneficial ownership updates. Access to such information is governed by current law and regulator procedures - it is not absolute anonymity.
Is bookkeeping and annual filing required?
Yes. Keep accounting records sufficient to explain transactions and financial position, and submit the annual financial return to the registered agent as applicable. Maintain the registered agent, registered address, statutory registers and beneficial ownership information.
Does a BVI company need local staff and an office?
Not always. It depends on the actual business. Some activities may require local employees, offices, expenditure or management activity; others only need to report their business situation. Judge by the company's income and activities.
Can the bank account be opened right after incorporation?
You can apply, but account opening is independently reviewed by the bank or payment institution and is not automatic. Banks look at how the company makes money, target markets, contracts, website, counterparties, source of funds, director backgrounds and expected volumes.
How long does it usually take?
When the name is available, documents are complete and signatures are prompt, the certificate is usually issued quickly; the full engagement also includes document review, agent verification, document preparation and delivery. Common engagements can be estimated at about 5-15 business days, subject to actual review progress.
What does the quotation usually include?
Quotations typically cover government incorporation fees, first-year registered agent, registered address, KYC review, and company document preparation and delivery. Account opening, notarisation, certificates of incumbency, changes and annual maintenance are usually listed separately as needed.
Can a BVI company do any business?
No. General trade, consulting and investment are usually fine, but banking, insurance, trust, fund, securities and virtual-asset businesses require licences. Without one, the company name and marketing must not suggest approval.
What should mainland Chinese individuals or enterprises watch out for?
Assess outbound funds, outbound investment filings, potential tax residency, overseas profit declaration rules, place of effective management and personal or corporate income tax obligations. For major investments or complex structures, also consult mainland lawyers and tax professionals.
Can directors, shareholders or the name be changed later?
Yes, but resolutions, transfer documents and register updates are needed, plus filings required by the registered agent or the registry. Also consider updating bank accounts, contracts, licences, tax matters and beneficial ownership information.
