Offshore profits exemption is one of the more misunderstood topics among Chinese companies going global. Some founders assume that registering in a low-tax territory automatically delivers minimal tax. In reality, an offshore claim is an active application, assessed case by case by the tax authority, not a default entitlement. This article explains how territorial-source taxation works and what evidence a credible claim needs.
The principle of territorial taxation
Under this framework, only profits sourced in the territory are subject to profits tax, while foreign-sourced profits can be claimed as offshore. The critical point is that sourcing is determined on the facts: where negotiations took place, where contracts were concluded, where goods were shipped from, and where key decisions were made. Neither the place of incorporation nor the intention of the owner decides the question; the documentary trail does.
Where the claim typically fits
The classic case is re-export trading: goods ship from a mainland factory while a Hong Kong or offshore entity concludes contracts and collects payment, with the profit-generating activities occurring outside the territory. Companies with little or no local staffing, and with negotiations and contract signature documented overseas, have a factual basis worth assessing. Businesses that negotiate and sign locally generally do not.
What the application needs
- Documented transaction chains: orders, contracts, correspondence and shipping records.
- An organisational description covering local staff, premises and decision-making processes.
- Audited financial statements and bank statements covering the claim period.
- The geographic distribution of suppliers and customers.
Authorities usually process claims in stages: tax is provisionally paid while individual transactions are reviewed, and the review can run for several months to more than a year depending on complexity. During this period the company remains fully obliged to file on schedule.
Common misconceptions
Overseas customers alone do not make a profit offshore. Keeping money outside the territory does not remove the duty to file and pay provisionally. And no adviser can promise an outcome; claims rest on evidence, and fabricating documentation carries serious consequences. Everything here is general information; how the rules apply depends on the latest local regulations and the facts of each case.
Action step: design your evidence trail before the structure goes live, not when the tax return arrives. We will assess candidly how strong a claim your trading pattern can support, what records you should start keeping now, and where your current setup falls short of the requirements.
